Description

Reporting to the Board of Directors and the Executive Director, the Executive Director and Treasurer – Finance, Procurement, Legal Affairs, and Compliance exercises the powers conferred under the Act respecting the Metropolitan Transportation Network, exo’s governing documents, and the delegations granted by its governing bodies and senior management.

As a designated officer under the governing legislation, the incumbent plays a central, cross-functional role within the organization. He or she brings a comprehensive understanding of financial, contractual, legal, and compliance matters within a complex public sector environment characterized by strong accountability, a wide range of stakeholders, and significant transformation initiatives.

This position combines oversight of Finance, Procurement, and Legal Affairs/Compliance, making the incumbent a key contributor to organizational consistency, sound governance, and effective risk management, while serving прежде tout as a strategic financial leader.

In a context where exo primarily operates as a network manager, the incumbent plays a critical role in understanding and managing the public funding model, particularly in relation to the ARTM, municipalities, and the Government of Quebec.

The incumbent actively contributes to the definition of strategic priorities, the management of organizational and digital transformation initiatives, and the development of strong, enduring relationships with the Board of Directors, funding partners, and institutional stakeholders.

 

Main Responsibilities

Head of the Finance Department, with the following primary responsibilities:

  • Promoting the optimal management and allocation of exo’s financial resources by improving performance, supporting decision-making, and planning for the future, while ensuring the sound management of day-to-day financial operations
  • Plan and oversee all financial and administrative activities in accordance with accounting standards, applicable laws, and exo’s policies. The incumbent also serves as a strategic advisor to all departments and decision-making bodies
  • Ensure compliance with financial and tax regulations applicable to the public sector, and that the organization adheres to the highest ethical and legal standards
  • Ensure proactive financial risk management to support decision-making, particularly in interactions with the Audit Committee and the Board of Directors
  • Oversee the preparation of the organization’s financial statements, as well as the management of supplier payments and accounts receivable
  • Ensure the production of key deliverables, such as monthly budget monitoring and the three-year capital expenditure program, in accordance with the Board of Directors’ guidelines and recommendations, thereby actively contributing to the Organizational Strategic Plan (PSO 2027–2032)
  • Ensure the implementation of directives and decisions issued by the Board of Directors and the Chief Executive Officer, and be responsible for all financial matters related to external relations with financial institutions, the Ministry of Finance, and other stakeholders

Head of the Procurement Department, with the following primary responsibilities:

  • Oversee the strategic management of procurement activities, including the implementation of contract strategies, supplier and partnership management, contract negotiation, and cost optimization
  • Oversee procurement strategies within a model heavily focused on outsourcing, including complex tenders, multiple contracts, and partnerships
  • Support teams in managing contracts related to major service agreements, particularly with the ARTM
  • Ensure the development of sustainable and effective procurement strategies to achieve the organization’s objectives regarding cost management, inventory, and service improvement, thereby ensuring sound procurement management
  • Ensure the provision of advice and guidance regarding the preparation of tender documents, the review of bid eligibility and compliance, supplier performance evaluation, contract management, accountability, and verification of contractual processes

Head of the Legal, Commercial, and Compliance Department, whose primary responsibilities are as follows:

  • Ensure the interpretation and application of laws, regulations, decrees, and any other legal texts about exo’s activities, and provide the necessary legal advice and guidance in this regard
  • Ensuring the organization’s compliance with applicable laws and regulations
  • Oversee the drafting, review, and negotiation of various commercial agreements and contracts (government contracts, consulting services, construction, procurement, licensing, confidentiality agreements, design-build, public-private partnerships [PPP])
  • Defend the interests of exo, its officers, and directors when they are the subject of a claim (including any class action), and ensure the protection of exo’s assets by obtaining the necessary insurance for its property and operations
  • Raise awareness among executive management regarding applicable rules on access to and protection of personal information and ensure exo’s compliance with the applicable legal framework

Required Qualifications

Education

  • Hold a bachelor’s degree in accounting
  • Hold a professional accounting designation (CPA)
  • Master’s degree in business administration or any other relevant master’s degree (a plus)

Professional Experience

  • A minimum of fifteen (15) years of experience as a senior executive, with significant achievements related to the various responsibilities of the position
  • Experience within a public or parapublic organization (a strong asset)

Skills and Competencies

  • Demonstrate experienced financial leadership within a complex public sector environment.
  • Demonstrate an excellent understanding of political, institutional, and financial issues.
  • Exercise strong leadership in change management and in driving organizational transformations that foster engagement.
  • Demonstrate rigor and credibility and exert influence with a board of directors and multiple stakeholders.
  • Demonstrate excellent interpersonal skills: able to build trusting relationships, provide constructive feedback, negotiate, and collaborate effectively with a diverse range of internal and external stakeholders
  • Have proven experience in team management, with a constant focus on talent development and employee engagement
  • Demonstrate strong organizational skills, the ability to work under pressure, exemplary rigor, and attention to detail
  • Be recognized for proactivity, versatility, and adaptability in changing environments
  • Possess excellent communication skills, both verbal and written
  • Have experience with SAP or a similar ERP system (a significant asset)

  • A nuanced and strategic understanding of the metropolitan public transit ecosystem, including its funding mechanisms, to inform decisions by senior management and the board of directors in a context of increased budgetary constraints.
  • Leadership of the financial strategy for a large-scale public organization undergoing a major transformation of its business model and service offerings.
  • Structural optimization of costs and financial levers, maintaining a constant balance between budgetary discipline and the quality of services provided to citizens.
  • Transforming the procurement function into a strategic lever for performance and value creation, beyond mere compliance requirements.
  • The development and implementation of innovative contractual strategies supporting large-scale infrastructure and investment projects.
  • The mobilization and alignment of multidisciplinary teams (finance, legal, procurement, compliance) around a culture of performance, integrity, and accountability.
  • Rigorous oversight of budgetary activities and funding mechanisms, with a view to achieving sustainable optimization and controlling public spending.
